Constitution
of the
Stillwater Parks and Recreation Bicycle Association

Article I - Name of the Organization
|
- The name of the organization shall be the Stillwater
Parks and Recreation Bicycle Association, here after know as the
Association.
|
|
Article II - Objectives
|
- The objectives of the Association are:
A. To foster interest in bicycling for sport
through regular meetings, publicity campaigns, and the sponsorship
of events.
B. To promote bicycling as a family sport.
C. To assists a part of the Parks and Recreation Department
of the city of Stillwater in the selection, maintenance and
supervision of the track for bicycling sport.

Article III - Membership
|
- Members shall be any persons who have paid individual
or family dues fro the current calendar year. Only members may
vote or hold elected office.
- Associate Members shall be any person wishing
to participate in club activities who is in the immediate family
of a member who has paid family dues or the current membership
year.
- Inactive Member shall be those who have been
members or associate members in the past but who are not current
in their dues. Inactive members may become active by paying dues
for the current membership year.
- Ex-members shall be formerly active members
or associate members who have formally indicated there resignation
from the Association or who have been inactive for three years.

Article IV - Officers
|
- The Officers of the Association shall be a President,
a Vice-president, a Secretary, and a Treasurer. Their terms of
office shall be for one year and shall begin at the first regular
meeting in February. Officers are not eligible for reelection
to the same office.

Article V - Meetings
|
- Regular meetings of the Association shall be
on the second Tuesday of each month at a time and a place designated
by the President.
- Special meetings may be called by the President
or in response to a petition signed by at least ten (10) active
members.

Article VI - Amendment to this
Constitution
|
- Amendments to this Constitution may be proposed
by the President or by a petition signed by ten (10) active members
of the Association. Such proposals must be voted on by the membership.
- Portions of the Constitution may be adopted,
rescinded, or amended by two-thirds of the votes cast by the members
of the Association, either by mail ballot or at a regular meeting.
If the vote is to be taken at a regular meeting, all members must
be notified by mail or phone at least two weeks before the meeting.

Article VII - Dissolution of
the Association
|
- Dissolution of the Association maybe proposed
to the President by a petition signed by ten (10) voting members.
Such proposals must be voted on by the membership.
- Dissolution shall be approved by an affirmative
vote of at least two-thirds of the votes cast in a mail ballot
or at a regular meeting. If the vote is to be taken at a regular
meeting, all members must be notified by mail at least two weeks
before the meeting.
- If the proposal is approved, all property of
the Association shall be converted into cash, through sale auction,
with in a two month period.
- The treasure shall pay all debts of the Association
and the residual assets shall be given to the Stillwater Parks
and Recreation Department.
- When all assets of the Association have been
disposed of, dissolution shall have been effected.
